These Terms of Service (“Terms”) govern your access to and use of PROSEEQ (the “App”). By accessing or using the App, you agree to be bound by these Terms. If you do not agree, you may not use the App.

Definitions

  1. “App” refers to PROSEEQ.

  2. “Provider” means Proseeq Pty Ltd (ACN: 679 906 364) and companies owned and operated by Proseeq Pty Ltd.

  3. “Terms” means these Terms of Service.

  4. “User” refers to any person or entity who accesses or uses the App.

  5. “User Data” refers to the data accumulated as a result of a User’s use of the App.

Application

  1. These Terms apply to all Users of the App. Users shall comply with these Terms when using the App.

Roles and Responsibilities of Users

  1. Users shall not misuse the App, including attempting to gain unauthorised access to the App or related systems.

  2. Users shall not disclose login credentials to any third party, shall not allow others to use their credentials, and are responsible for managing them securely.

  3. Users are responsible for all activity that occurs under their account, whether or not they authorised such activity.

Confidentiality Obligations

  1. Users shall not disclose to third parties any non-public information about the specifications, technology, or performance of the App.

  2. The App’s user interfaces, logo, and computer code may not be copied, reproduced, republished, uploaded, posted, publicly displayed, translated, transmitted, or distributed in any way without prior written consent from the Provider.

  3. Any information shared with you in confidence by the Provider, including communications, documents, or support materials, is strictly confidential.

Service Availability

  1. The Provider may, at its discretion, modify, suspend, or discontinue the App, or any part of it, without notice.

Prohibited Acts

  1. Users shall not engage in any of the following acts:

  2. Assigning, leasing, or transferring to another person all or part of their rights or access to the App;

  3. Using the App for unlawful or unauthorised commercial purposes;

  4. Violating these Terms or applicable laws;

  5. Any other acts that the Provider notifies Users are prohibited.

Information Collection

  1. For the purpose of analysing and improving the App, information relating to usage may be collected, including but not limited to hardware, software, error logs, and User Data, in accordance with the Provider’s Privacy Policy.

Fees

  1. The Provider reserves the right to charge fees for use of the App or provide free access.

  2. The Provider may change pricing or introduce new fees at any time at its sole discretion, subject to applicable law.

Disclaimer; Limitation of Liability

  1. The App is provided “AS IS”. To the maximum extent permitted by law, the Provider disclaims all warranties, express or implied, including fitness for purpose, merchantability, and non-infringement.

  2. The Provider is not liable for any damages arising from use of the App, including loss of data, business interruption, or hardware damage. Users access and use the App at their own risk.

Ownership of Rights

  1. The Provider retains all rights, title, and interest in and to the App and User Data (including all intellectual property rights therein).

  2. Any feedback, suggestions, or ideas provided by Users automatically become the property of the Provider.

Indemnity

  1. Users agree to indemnify and hold the Provider harmless from any losses that result from third-party claims related to their access, use, or misuse of the App, or any violation of these Terms.

Changes to these Terms

  1. The Provider reserves the right to modify these Terms at any time, including by posting updated terms on the App website (www.proseeq.com). Continued use of the App after such updates constitutes acceptance of the revised Terms. Users may also be asked to affirmatively consent to updates before continuing use.

Governing Law

  1. These Terms are governed by the laws and regulations of the State of Victoria (Australia). Users agree that the laws and regulations of Victoria apply to any disputes relating to these Terms or use of the App.
